Terms & Conditions

These Terms & Conditions ("Terms") constitute a legally binding agreement between Contexta Solutions Pvt. Ltd. ("Contexta", "we", "us", or "our") and the individual or entity ("Subscriber", "Clinic", "you", or "your") who registers for or uses the Contexta platform.

By clicking "Get Started", registering an account, or using any part of the platform — including during the free trial — you confirm that:

• You have read, understood, and agree to these Terms
• You are authorised to enter into this agreement on behalf of your clinic or organisation
• You are at least 18 years of age
• Your use complies with all applicable Indian laws and regulations

• Contexta EMR — Cloud-based EMR and practice management including appointment scheduling, OP queue management, task management, and AI-assisted clinical tools
• Patient Portal — Patient-facing interface enabling access to health records, appointment history, prescriptions, and direct communication with the clinic
• Growth Engine — SEO and digital visibility tools to help clinics improve their online presence and attract patients

At the end of the Trial Period, Contexta will notify the Subscriber via email at least 14 days in advance. Data will be retained for 60 days post-suspension before permanent deletion.

5.1 Pricing Changes: Any price change will be communicated at least 30 days before the Subscriber's next renewal date.

5.2 No Refund Policy: All subscription fees are non-refundable once paid. No pro-rated refunds for early cancellation.

5.3 Cancellation: Notify Contexta at contact@contextaemr.com at least 30 days before the renewal date. Data export tools remain available for 60 days after subscription end.

The Subscriber is responsible for all activity under their Contexta account, including actions of all Authorised Users.

• Maintain the confidentiality of all login credentials and not share passwords between users
• Immediately notify Contexta of any unauthorised access at contact@contextaemr.com
• Ensure that Authorised Users are made aware of and comply with these Terms
• Ensure patient data is entered with appropriate consent and in compliance with applicable Indian laws
• Not share account access with anyone outside the clinic's own staff

Contexta acts as a data processor — processing and storing data solely on the Subscriber's behalf, in accordance with our Privacy Policy.

Data Portability: Subscribers may export data at any time. Data provided in CSV/PDF format within 7 business days of a written request.

Data on Termination: Subscribers have 60 days to export data after account termination. After this, data is permanently deleted.

• No data used for Insights will contain any patient name, phone number, email, health ID, or any identifying field
• Anonymisation is performed before any Insight-related processing begins
• Insights are never sold to third parties in any form traceable to a specific clinic or patient

The following are strictly prohibited:

• Entering false, fabricated, or fraudulent patient records or clinical data
• Using the Platform to facilitate any illegal medical practice or fraud
• Attempting to reverse-engineer, decompile, or extract the Platform's source code
• Using automated bots or scrapers to extract data without authorisation
• Sharing account credentials or reselling access to the Platform
• Uploading malicious code, viruses, or content that compromises Platform security
• Using patient data for any purpose other than their direct healthcare management

All intellectual property rights in the Contexta Platform — including software code, UI design, algorithms, AI models, logos, and documentation — are the exclusive property of Contexta Solutions Pvt. Ltd.

The Subscriber is granted only a limited, non-exclusive, non-transferable licence to access and use the Platform for internal clinic operations during the Term.

12.1 Termination by Subscriber: The Subscriber may terminate at any time by written notice. No refund for unused subscription period. Data export tools available for 60 days post-termination.

12.2 Termination by Contexta may occur for: non-payment after a 14-day grace period, material breach of Terms, unlawful use, or provision of false registration information.

12.3 Effect of Termination: Access ceases immediately. Subscribers may export data within 60 days, after which data is permanently deleted.

• Contexta's total aggregate liability shall not exceed the subscription fees paid in the 12 months preceding the claim
• Contexta is not liable for indirect, incidental, or consequential damages including loss of revenue, data loss, or business interruption
• Contexta is not liable for clinical decisions made using the Platform — all medical decisions are the sole responsibility of the treating clinician
• Contexta is not responsible for the accuracy of data entered by Subscribers or Authorised Users

The Subscriber agrees to indemnify and hold harmless Contexta Solutions Pvt. Ltd. from and against any claims, damages, or expenses arising from:

• The Subscriber's violation of these Terms or any applicable law
• Unauthorised or improper use of the Platform by the Subscriber or their Authorised Users
• Any breach of patient consent or data protection obligations by the Subscriber
• Any clinical decision or medical advice provided by the Subscriber using the Platform

• The "Last Updated" date at the top will be revised on any change
• Subscribers will be notified by email at least 14 days before material changes take effect
• Continued use after the effective date constitutes acceptance of the revised Terms

These Terms are governed by the laws of the Republic of India. In the event of any dispute, the parties shall first attempt to resolve it through good-faith negotiation within 30 days.

All disputes shall be subject to the exclusive jurisdiction of the competent courts of India. The language of proceedings shall be English.
